Our Terms of Business are simplified for ease of use. The parts in Red would be pre negotiated and changed

These terms are between 1stREC Ltd and Client Ltd or any associated firm or corporation (hereinafter called ‘The Client’) who engage permanent or self employed candidates introduced by 1stREC Ltd.

A. DEFINITIONS

"Agreed Fee" means: – In the case of permanent staff, appointed through advertising assignment or contingency, a fee of Agreed Fee % for each Candidate is charged of the annual basic salary or a minimum Agreed Flat fee eg £2500 flat fee is charged for introduction of a self employed candidate. This is a discounted rate from the standard fee of 22.5%.  This discount will apply subject to the Client paying the fee by the due date.


"Engage" means: - Retain under a contract of service, contract for services or self employed status.


"Interest" means: -1stREC Ltd reserves the right to invoice a surcharge to the Client of 1% per seven day period for delays in payment after 30 days have elapsed from the invoice date, and The Client will accept this charge for payment on receipt of invoice.

"Applicant/Candidate" means any person introduced by the Company to the Client whether or not previously known to the client.

"Introduce” means: - "Put in touch with" and is irrespective of whether the candidate was already known to the Client or known of the Client and irrespective of the means of the introduction.

"Payment Date" and “Payment Terms” means: -14 days from date of invoice. Invoices are dated on the first day of the Candidate commencing employment.

‘Permanent Staff’ shall be deemed to mean Candidates engaged for employment by the Client and who shall be paid by that Client.

B. 1stREC Ltd OBLIGATIONS

1stREC Ltd will: -

1. Use its best endeavours to identify one or more Candidates for the position the Client wishes to fill;

2. Conduct an initial assessment of a Candidate’s suitability according to the criteria the Client has given.

3. Introduce suitable Candidates to the Client:

4. Should the Candidate, having taken up employment with The Client subsequently leave, 1stREC Ltd will endeavour to refill the post within a 6 week period from the date of notification given by the client, should this prove unsuccessful the following credit will be allowed by The Company:-

Not exceeding 3 weeks                                       65%

Not exceeding 4 weeks                                       45%

Not exceeding 5 weeks                                       35%    

Not exceeding 6 weeks                                       25%

Not exceeding 7 weeks                                       15%     

Not exceeding 8 weeks                                       10%


In the case of the flat fee charged for the introduction of a self employed candidate there is no rebate applicable.


Applications for credit should be received in writing within 7 days of the date the Candidate left the Client’s employment. 1stREC Ltd will be given Six weeks from the notification letter to replace the Candidate. Should no Candidate replacement be found the Client can then claim a credit.

 

In the event that The Client should fail to honour 1stREC Ltd Payment Terms then The Client shall forfeit the right to claim any credit hereunder and 1stREC Ltd full fee shall remain due and owing.

If, following the issue of a credit, The Client subsequently re-engages the Candidate within a period of six calendar months from the date of termination, a full fee becomes payable.

Appointment fees will only be credited if the employment terminates through no fault of the Client.

C. CLIENT OBLIGATIONS

The Client will: -

1. Tell 1stREC Ltd immediately if they Engage a Candidate and supply to 1stREC Ltd  a copy of all letters containing the terms of engagement.

2. Pay the Agreed Fee on or before Payment Date.

3. In the event that payment is not made on or before the Payment Date, pay Interest.

4. Keep strictly confidential all information given to them by 1stREC Ltd about the Candidate.

5. In the event that the Client passes information about the Candidate to a third party, pay the Agreed Fee.

6. Take up all and any references necessary as to the Candidate’s qualifications, capabilities and integrity, medical history and suitability for your requirements. 1stREC Ltd gives no warranty or undertaking whether express or implied as to the suitability or fitness or qualifications of the Applicant introduced to the Client.  

7. Obtain any necessary work permit.

D. TERMS

If the Client has not expressly accepted these terms of business in writing, the client is deemed to have accepted these terms of business if the Client (or his representative) either interviews or engages a Candidate introduced by 1stREC Ltd. A Candidate is engaged by the Client as an employee or under a contract for services or as an agent.

E. DECLARATION

1. Our relationship is governed by English law and any dispute between us shall be decided only in an English court.

2. Words implying a particular gender shall include all genders and words implying the singular shall include the plural and vice versa.

3. 1stREC Ltd can accept no liability of any kind for the loss or damage to property or for any other loss including loss of profits or for any injury to persons arising directly or indirectly from any act or omission of any applicant introduced by 1stREC Ltd even if such act or omission is negligent or fraudulent or dishonest.

4. No variation may be made to these terms without the written agreement of a Director of 1stREC Ltd.
